General Terms and Conditions for Clients:

Article 1:

Allcaps and DSS - Digital Service Solution GmbH shall not be held liable for any content, claims, statements, or representations made by the Client in articles, promotional material, or any other form of communication. The Client assumes full responsibility for the accuracy, legality, and compliance of the content produced or promoted through the services provided by the Contractor.This liability disclaimer clause shall survive the termination or expiration of the agreement between the Contractor and the Client.

Article 2:

Allcaps and DSS - Digital Service Solution GmbH warrants to protect the client's business secrets and all copyrights. The contractual partners agree that all data and information the client sends to Allcaps (DSS - Digital Service Solution GmbH) (information about the customers for whom the texts are created, the texts themselves, and others) are confidential. Allcaps (DSS - Digital Service Solution GmbH) confirms that we may not further use the data, information and texts (non-disclosure agreement).

Article 3:

Subcontracting of the work to be done is permitted via a contract of services and non-disclosure agreement with all Allcaps (DSS - Digital Service Solution GmbH) employees.

Article 4:

Allcaps Media and DSS-Digital Service Solution GmbH shall not be held liable for articles that have been published and subsequently removed from the publisher's website due to any external or internal factors determined by the media the article has been published on. Allcaps Media and DSS-Digital Service Solution GmbH cannot be held responsible for publisher decisions and are therefore not obligated to issue refunds to clients.

Article 5:

All possible disputes arising from the application of this contract, the contracting parties will try to settle peacefully, applying the principle of cooperation and optimal tolerance. In accordance with this contract and our Code of Conduct, we commit to maintaining absolute confidentiality as long as the terms of this contract and the provisions of our Code of Conduct are upheld. In the event of a breach of this contract or the Code of Conduct, we are entitled to disclose the necessary information to the relevant parties.

If a peaceful settlement is not possible, the contracting parties agree that the European law of the country where the service was provided (Austria) has jurisdiction for assessing the dispute for this contract.

General Terms and Conditions for Publishers:

This exclusion of liability clause shall also apply after the termination or expiry of the contract between the Contractor and Allcaps (DSS - Digital Service Solution GmbH).

Article 1:

The Contractor agrees to perform the following work for Allcaps Media:

To publish SEO-optimised articles on projects of Allcaps’ (DSS - Digital Service Solution GmbH) clients, content and/or topics. The contractor receives the exact specifications of Allcaps (DSS - Digital Service Solution GmbH) as well as the individual details. The contractor undertakes to comply with the ethnic position/guidelines (mentioned in the Code of Conduct) as well as the general Content Guidelines. Furthermore, the contractor undertakes to include the "Disclaimer Clause" at the end of each article.

Article 2:

Contractor agrees to protect Allcaps’ (DSS - Digital Service Solution GmbH) trade secrets and all copyrights and shall not share, sell or publish any information, text, content or business strategy with any third party. The parties agree that all data and information provided by Allcaps (DSS - Digital Service Solution GmbH) to the Contractor (information about the clients for whom the content is created, the written content itself and others) are confidential. The contractor confirms that it may not make further use of the data, information and texts (non-disclosure agreement).

Article 3:

The Parties undertake to act diligently in the performance of their obligations and to protect the business, economic and moral interests of the Contractor as far as possible. The Contractor shall be protected by partners (third parties) of Allcaps (DSS - Digital Service Solution GmbH) and shall not be liable to them. Allcaps (DSS - Digital Service Solution GmbH) shall not be liable for any content, allegations, statements or representations published by the Contractor in the articles, advertising materials or other forms of communication. The client of Allcaps and DSS - Digital Service Solution GmbH is solely liable for the content as well as the statements published in the articles. In the event of any claims or complaints from third parties, the contractor will be referred by Allcaps (DSS - Digital Service Solution GmbH) to the client that is in charge of the project.

This exclusion of liability clause shall also apply after the termination or expiry of the contract between the Contractor and Allcaps (DSS - Digital Service Solution GmbH).

Article 4:

The Parties shall seek a peaceful settlement of all disputes that may arise from the application of this Treaty, applying the principle of cooperation and the greatest possible tolerance.

In the event that peaceful settlement is not possible, the Parties agree that the European law of the country in which Allcaps (DSS - Digital Service Solution GmbH) is domiciled (Austria) shall have jurisdiction to adjudicate the dispute for this contract.

General Terms and Conditions for Creators (Writers, Proofreaders, Translators & Editors):

Article1:

The Contractor agrees to produce the following work for Allcaps (DSS - Digital Service Solution GmbH): To create, translate or proofread optimized articles for projects of Allcaps’ (DSS - Digital Service Solution GmbH) Clients in the language the Contractor is able to provide. The Contractor shall receive exact specifications as well as the individual details from Allcaps (DSS - Digital Service Solution GmbH). The Contractor agrees to comply with the ethnic position/guidelines (mentioned in the Code of Conduct) as well as the general Content Guidelines.

Article 2:

The parties agree and acknowledge that the Contractor is an independent contractor and in no way an employee of Allcaps (DSS - Digital Service Solution GmbH). The Independent Contractor shall not be authorized to enter into any agreement or contract on behalf of Allcaps and DSS - Digital Service Solution GmbH and shall not hold himself out as such a person. The Independent Contractor shall not be entitled to any benefits from Allcaps (DSS - Digital Service Solution GmbH), including but not limited to medical, dental, pension or other plans.

Allcaps (DSS - Digital Service Solution GmbH) shall not be required to pay any workers' compensation insurance, unemployment insurance, social security tax, withholding tax or other taxes or duties for or on behalf of the Independent Contractor in connection with the performance of the services referred to in this Agreement. Nothing contained in this Agreement shall be deemed or construed by the parties hereto to create a partnership, joint venture or other fiduciary relationship.

Article 3:

Contractor agrees to protect Allcaps (DSS - Digital Service Solution GmbH) trade secrets and all copyrights and shall not share, sell or publish any information, text, content or business strategy with any third party. The parties agree that all data and information provided by Allcaps (DSS - Digital Service Solution GmbH) to the Contractor (information about the clients for whom the content is created, the written content itself and others) are confidential. The Contractor confirms that it may not further use the data, information and texts (non-disclosure agreement).

The Contractor undertakes that after the conclusion of this Agreement with Allcaps (DSS - Digital Service Solution GmbH) or business partners for whom the Contractor has been commissioned by Allcaps and DSS - Digital Service Solution GmbH to prepare texts on the basis of this legal transaction, the Contractor shall not enter into any contracts or cooperation agreements for the next year, which would terminate the need for cooperation between these clients or business partners and Allcaps (DSS - Digital Service Solution GmbH.)

Article 4:

The Parties undertake to act diligently in the performance of their obligations and to protect the business, economic and moral interests of the parties as far as possible. The Contractor shall be protected by partners (third parties) of Allcaps (DSS - Digital Service Solution GmbH) and shall not be liable to them.

Article 5:

The Parties shall seek a peaceful settlement of all disputes that may arise from the application of this Treaty, applying the principle of cooperation and the greatest possible tolerance.

Should a peaceful settlement not be possible, the contracting parties agree that the European law of the country in which Allcaps and DSS - Digital Service Solution GmbH have their registered office (Austria) shall be competent to judge the dispute for this contract.
